Terms of Use

HWW is a roofing-only digital marketing agency operating under OV Elevate LLC, a California limited liability company. Services include SEO, GEO, Local SEO, Google Business Profile Management, PPC, Local Services Ads, HuddleFlow AI™ Lead Nurturing, and Website Design.

HWW operates on an exclusive one-client-per-service-area model. Acceptance implies HWW does not simultaneously represent competing roofing contractors within the same defined service territory.

2.1 No Guarantee of Results

HWW provides digital marketing services on a best-efforts basis. We do not guarantee specific rankings, lead volumes, call volumes, booked estimates, or revenue outcomes. Search engine algorithms, advertising platform policies, and market conditions are outside our control.

2.2 Platform Dependency

Certain services rely on third-party platforms including Google LLC, Meta Platforms Inc., GoHighLevel, and other SaaS providers. HWW is not liable for outages, policy changes, account suspensions, or feature deprecations imposed by these third parties.

2.3 HuddleFlow AI™

HWW's AI-powered lead nurturing product operates via text message and email automation. Client is responsible for ensuring their lead list and opt-in practices comply with TCPA and CAN-SPAM.

2.4 Search-to-Booked Roofing System™

The Search-to-Booked Roofing System™ is HWW's proprietary framework. All services are delivered as components of this system. Individual components are not offered on a standalone basis.

2.5 Hosted Services

HWW may host and manage certain assets including the Client's website, a business phone number, and AI phone answering configuration. Website content and Client-registered domains remain Client property. HuddleFlow AI™ configurations are the intellectual property of OV Elevate LLC. Client call data and lead records belong to the Client and will be provided in exportable format upon request.

3.1 HWW Ownership

All content on this Site — including text, graphics, logos, designs, system frameworks, methodology names (Search-to-Booked Roofing System™, HuddleFlow AI™, CoreSquare™) — is the exclusive intellectual property of OV Elevate LLC / Huddle Web Works.

3.2 No Unauthorized Use

You may not reproduce, distribute, modify, or republish any material from this Site without prior written consent. This includes scraping, framing, or mirroring.

3.3 Client-Owned Assets

Upon full payment, any website, graphics, or content created specifically for a Client becomes the property of that Client, except for HWW's proprietary systems and frameworks. Upon cancellation, Client-owned accounts and assets are returned within 5 business days.

By using this Site, you agree not to:

• Use the Site for any unlawful purpose
• Transmit malicious code, viruses, or any disruptive software
• Probe, scan, or test the vulnerability of the Site
• Harvest contact information from the Site without consent
• Impersonate HWW or its founder
• Submit false or fraudulent information through any form
• Use automated tools to access or index the Site without permission

Completion of any assessment or scorecard tool does not create a contractual obligation on the part of HWW. Submission constitutes your consent to be contacted by HWW via email, text message, and/or phone regarding your results and potential services.

To be covered under the installation guarantee, active Clients agree to:

• Provide required account access within 7 days of kickoff
• Maintain an active Google Business Profile
• Fund and maintain the advertising budget in their own Google account
• Maintain a minimum Google LSA budget of $100/week
• Answer inbound calls and follow up on leads
• Respond to review requests
• Communicate changes in service area, capacity, or operations promptly
• Participate in the kickoff call within 5 business days of enrollment

HWW guarantees that all system components in the Client's selected tier will be fully installed and operational within 30 days of the kickoff call, provided the Client has fulfilled all responsibilities in Section 6.

This is an installation guarantee, not a results guarantee. Rankings, call volume, and lead flow depend on factors outside HWW's direct control.

Monthly Fee

The Client's monthly service fee is billed on a recurring basis beginning at enrollment.

Advertising Budget

Advertising spend is separate from the service fee. Ad spend is held in accounts owned by the Client.

Minimum Ad Spend

Client agrees to maintain a minimum LSA budget of $100/week. If the budget falls below this minimum, services may be paused.

Late or Failed Payments

If a payment fails, access may be suspended if not resolved within 5 business days.

Initial Commitment

Active Clients agree to an initial six-month commitment period beginning on the date of the kickoff call. The system is designed to compound over time. Cancellation during this period does not relieve the Client of payment obligations for the remainder.

Month-to-Month After Six Months

After the initial period, the engagement continues month-to-month. Either party may cancel with 30 days written notice to support@huddlewebworks.com.

Users and Clients agree to maintain confidentiality of proprietary systems, processes, and pricing structures shared by HWW. You agree not to make negative or defamatory statements about OV Elevate LLC, Huddle Web Works, or its team members.

THIS SITE AND ALL CONTENT, TOOLS, AND SERVICES ARE OFFERED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND. HWW EXPRESSLY DISCLAIMS ALL WARRANTIES INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, HWW SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES. HWW's total cumulative liability shall not exceed the total fees paid by that Client to HWW in the three (3) months immediately preceding the event giving rise to the claim.

You agree to defend, indemnify, and hold harmless HWW from claims arising out of: your use of the Site or services, your violation of these Terms, your violation of any third-party right, content you submit, or your violation of any applicable law including TCPA or CAN-SPAM.

HWW collects personal information through forms and tools on this Site. This data is used solely to contact prospective clients, deliver services, and improve marketing systems. HWW does not sell personal data. Full data practices are detailed in our Privacy Policy.

This Site may contain links to third-party websites, tools, or resources. HWW has no control over and assumes no responsibility for the content, privacy policies, or practices of any third-party sites.

HWW reserves the right to modify these Terms at any time. Updated Terms will be posted with a revised "Last Updated" date.

These Terms shall be governed by the laws of the State of California. Any dispute shall first be submitted to good-faith mediation. If mediation fails, disputes shall be resolved by binding arbitration in Sacramento County, California, under AAA rules.

Class Action Waiver: Any dispute resolution proceedings will be conducted only on an individual basis.

HWW reserves the right to terminate or suspend access at any time. Provisions of these Terms which by their nature should survive termination — including ownership, disclaimers, indemnification, and limitation of liability — shall survive.

If any provision is found invalid, that provision shall be modified to the minimum extent necessary to make it enforceable. These Terms, together with the Privacy Policy and any executed service agreement, constitute the entire agreement.
